About Clearmatics

Clearmatics is a B2B fintech startup that designs, develops and operates member-owned and member-governed digital cash settlement systems. Founded in 2015 as a London-based Ethereum R&D company, our mission is to reform market infrastructure by disrupting the common denominator across almost every market: cash settlement in fiat currency.

We are committed advocates of Open Source development and are active participants in the Web3 community. We have close ties to Ethereum Foundation and the Company is a founding member of the Ethereum Enterprise Alliance.

We are now looking to hire a LEGAL COUNSEL to help drive the next stage of the company's growth.

About You

As Legal Counsel, you will be responsible for Clearmatics' internal legal operations. This is an exciting opportunity to help take a disruptive blockchain company to the next level. We’re looking for someone who will thrive in a dynamic, growing startup, who is comfortable with the ambiguity of a new, green-field role and who can provide commercial insight alongside driving the day-to-day legal operations of the business.

In this role, you will:

  • Develop an internal legal framework, including the related processes and documentation for the on-going legal operations of the business;
    Support the operational legal requirements of the business
  • Identify and lead improvement projects, often outside your current area of expertise; and
  • Serve as a trusted advisor and business partner across the company by providing counsel and guidance for accomplishing Clearmatics' overall business objectives.
  • Keep up with current changes on all relevant areas of laws and contributing to the enhancement of the knowledge base of the company’s legal function

CONTRACTS

  • Lead a review of existing contracts, entity arrangements and other legal documents, refreshing and drafting new contracts as required; produce 'boiler-plates' for our standard agreements and consultancy contracts, NDAs, outsourcing and SLAs. Working with external counsel to deliver final versions in a timely manner;
  • Provide input and insight into company commercial decision making, acting as an internal subject matter expert;
  • Support and coach go-to-market teams on deal structure and contract negotiations;
  • Coordinate with external counsels to execute deals; 
  • Be the central point of contact for any new and updated agreements.

 IP

  • Actively engage and input on IP issues throughout the product development processes;
  • Develop and support the internal company intellectual property ("IP") management process ensuring that, assisting with the identification and internal recognition of Clearmatics IP, working with senior management to develop company strategy and working with external counsel on trademarking and patenting where required; reviewing licensing files in our internal repositories; and

 COMPLIANCE

  • Have full responsibility for in-house compliance (company policies and processes). Ensure compliance with the internal controls, statutory regulations and other formalities
  • Support the company's compliance with statutory obligations, everything from the 'Companies Act' through to 'GDPR'.

REQUIREMENTS

MUST-HAVES

  • UK recognised legal qualification (LLB / LLM / GDL etc)

  • At least 5 years of professional experience in a reputable law firm with experience at senior associate level; ideally your most recent experience will be in-house with a Fintech or SAAS start-up or SME

  • Practical experience in commercial negotiations, transactional side of financing and M&A deals, with a solid knowledge of commercial and contract law;

  • You will have a strategic mindset and must be capable handling complex topics such as entity structuring, commercial contracts, and licensing agreements;

  • Experience with fundraising, structuring deals and JVs

  • Ability to thrive despite ambiguity, both internally (working in a start-up environment) and externally (working in a nascent legal landscape);

  • Ability to work on your own and prioritise multiple, often competing for deliverables while managing expectations meeting deadlines

  • Outstanding interpersonal skills and the ability to coordinate effectively and gain trust and confidence with partners at many different levels.

  • Good organisational and time-management skills

  • Excellent communication skills

SHOULD-HAVES

  • Genuine, demonstrable interest in our work and on the disruptive potential of blockchain technology;

  • Knowledge of, and practical professional experience of, the management of intellectual property, ideally in a software development environment;

  • Excellent interpersonal, communications, public speaking, and presentation skills, with the ability to tailor messaging to a broad set of audiences from varied professional, cultural, and technical backgrounds; and

  • Technological savvy with a broad understanding of business models and product use cases.

NICE-TO-HAVES

  • Previous experience working in a start-up environment, ideally in the fintech or blockchain space;

  • Previous experience using the tools used day to day by the company, including git version control, Markdown markup language, Kanban and the Agile methodology.
